Terms of Service

These terms are an agreement between you and CodePrism Technologies Pvt Ltd ("CodePrism", "we"), the company behind NIRO. By creating an account or using NIRO you accept them. If you accept on behalf of a business, you confirm you are authorised to bind it. You must be at least 18.

"Service" means the NIRO website, dashboard and assistant, and anything we make available through them. "You" means the account holder. "Your customers" means the people who message an assistant you run. "Content" means anything uploaded, typed or generated in your account.

NIRO answers messages, books appointments and keeps customer records across the channels you connect. What is included depends on your plan.

We aim to keep the service available but do not guarantee uninterrupted access. We may change features, and will give notice before removing one you rely on. If you have a separate written agreement with us, it takes precedence where the two conflict.

Keep your details accurate and your password private. You are responsible for activity under your account. Tell us at sales@codeprism.in straight away if you think someone else has access.

Do not use NIRO to break the law, commit fraud, send spam, harass anyone or impersonate someone else. Do not upload malware, try to access another account's data, scrape or reverse-engineer the service, or use it to build a competing product.

Messaging channels have their own rules. Breaking WhatsApp's or Instagram's policies can get your number or account suspended by them, which is outside our control.

Your content stays yours. You grant us only the licence needed to store it, process it and show it back to you. You confirm you have the right to upload what you upload.

Your customers' data belongs to you. We process it on your instructions, as the Privacy Policy describes.

NIRO's replies are generated by AI and can be wrong. Check anything that matters, such as a price, an availability or a commitment, before relying on it. You are responsible for what your assistant tells your customers.

Paid plans are billed in advance. Fees are non-refundable except where the law requires otherwise. We will give 30 days' notice before a price change affects you.

NIRO, its software, the website's content and the NIRO and CodePrism trademarks belong to CodePrism. Nothing in these terms transfers ownership of them to you.

NIRO connects to services we do not control, such as WhatsApp, Instagram and Google. Your use of them is governed by their terms, and we are not responsible for their availability or content.

The service is provided "as is", without any warranty that it will be uninterrupted, timely or error-free. To the extent the law allows, we disclaim implied warranties of merchantability and fitness for a particular purpose.

To the extent the law allows, our total liability is limited to the greater of what you paid us in the 12 months before the claim or INR 10,000. We are not liable for lost profits or indirect loss. Nothing here limits liability for fraud, or for death or personal injury caused by negligence.

You can close your account at any time. We may suspend or end your access at any time, including immediately if you break these terms. After closure you can export your data for 30 days, after which it is deleted.

These terms are governed by the laws of India. Before starting any proceedings, both sides will try to resolve a dispute informally for 30 days, then through mediation in Hyderabad, with the costs shared equally unless the mediator decides otherwise. The courts of Hyderabad, Telangana have exclusive jurisdiction.

We may update these terms. We will tell you about a material change 30 days before it takes effect; continuing to use NIRO after that means you accept it.
